PERSPECTIVE / TRANSACTION PREPARATION
Readiness starts
before a process.
A transaction is a significant business decision. The starting point is a clear objective, not a promise of a valuation or a closing.
Define the decision
Write down the purpose of the contemplated transaction, the alternatives, the relevant stakeholders and the conditions under which you would choose not to proceed. This is a planning framework, not transaction advice.
Organize the information
A useful internal preparation list includes financial records, ownership information, material contracts, debt obligations, governance documents and known disputes. Do not send confidential records through a general website form.
Separate assumptions from evidence
Identify which figures have been independently verified, which are management estimates and which are projections. Keep the underlying assumptions and ownership of each workstream visible.
Build the right review process
Legal, tax, accounting and transaction questions require the appropriate professionals and engagement terms. Decisions about securities activity and compensation also require a proper legal basis.
